Terms of service

1. About us
Recron is operated by Cene Technologies Ltd, a company registered in England and Wales under company number 16512788 and whose registered office is at 66 Paul Street, London, EC2A 4NA (“Recron”, “us”, “we” or “our”). “You” and “your” means you as the user of the Recron service.

2. Acceptance of terms
These Terms, together with our Privacy & Cookie Policy, set out the rules for your use of Recron. By creating an account, accessing the Recron application, or using any part of the service, you agree to these Terms.
We may update these Terms from time to time. Changes are effective when posted to this page. Material changes will be communicated by email or in-app notice. Your continued use after changes go live means you accept the updated Terms.
3. The Recron service
Recron is a software-as-a-service product that runs AI agents on a schedule. You configure cron-style automations (“Crons”) that execute at intervals you choose; each run dispatches a Claude-family model to research, monitor, or summarise based on the prompt you provide. Outputs are delivered by email and via the Recron dashboard.
Our service includes the cron-creation interface, the agent execution environment, scheduled dispatching, output delivery, billing administration, and the surrounding application chrome.
4. Account registration & eligibility
- You must be at least 18 years old to create an account.
- You agree to provide accurate, current, and complete information at registration and to keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- We may suspend or terminate accounts that breach these Terms, that we reasonably suspect are being used for abuse, or that have not been paid for.
5. Subscriptions, billing & cancellation
Plans & pricing. We offer subscription plans that include a monthly allowance of execution credits, a maximum number of active Crons, and access to specific model and tool capabilities. Current plans and prices are listed on the pricing page. Prices are shown in GBP and are exclusive of VAT or other applicable taxes, which may be added at checkout.
Billing. Subscription fees are processed by Stripe and charged in advance on a monthly or annual cycle, depending on the plan you select. Your subscription will auto-renew at the end of each billing period unless cancelled.
Credits. Each plan grants a credit allowance per billing period. Credits do not roll over between periods, are not transferable between accounts, and are not redeemable for cash. Unused credits at period end or on cancellation are forfeit.
Plan changes. Upgrades take effect immediately and are prorated for the remainder of the period. Downgrades take effect at the end of the current period to avoid mid-period credit loss.
Cancellation & refunds. You can cancel at any time from the billing page; cancellation stops auto-renewal but access continues until the end of the current paid period. Except where required by applicable consumer law, fees already paid are non-refundable.
Failed payments. If a renewal payment fails we will retry per Stripe’s standard dunning policy. If the payment cannot be collected, the subscription will be downgraded to the Free plan and access to paid features (and any active Crons in excess of the Free tier limit) may be paused.
6. Acceptable use
You agree to use Recron only for lawful purposes and in accordance with these Terms. You must not:
- Use the service to generate, distribute, or facilitate the distribution of unlawful, defamatory, harassing, fraudulent, or infringing content;
- Schedule Crons to scrape, collect, or process data in violation of any third-party website’s terms of service or applicable law;
- Use the service to send unsolicited marketing email or to bypass anti-spam controls;
- Attempt to circumvent plan limits, credit allowances, model restrictions, or rate limits, including by creating multiple accounts;
- Attempt to gain unauthorised access to any part of the service, our infrastructure, or other users’ accounts or data;
- Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the service;
- Resell, sublicense, or white-label the service without our prior written consent;
- Use the service to develop, train, or evaluate a competing AI scheduling product.
We reserve the right to investigate suspected breaches and to suspend or terminate accounts that are used in breach of these rules, including without prior notice where there is risk of harm.
7. Customer content & AI outputs
Your content. You retain ownership of the prompts, schemas, and configurations you create in Recron (“Customer Content”). You grant us a worldwide, royalty-free licence to host, process, and transmit Customer Content as necessary to deliver the service to you.
Generated outputs. Subject to your compliance with these Terms, we assign to you all rights we have in the outputs produced by your Crons. You are responsible for the use of those outputs and for verifying their accuracy before relying on them.
AI output disclaimer. Recron’s outputs are produced by large language models and may contain inaccuracies, fabrications, outdated information, or sourcing errors. Outputs are provided “as is” without warranty of any kind. Do not use outputs as the sole basis for legal, financial, medical, regulatory, or other consequential decisions without independent verification.
Confidentiality of prompts. We do not share your prompts or outputs with third parties except as needed to deliver the service (e.g. transmitting prompts to the Anthropic API for execution). We do not use Customer Content to train AI models.
8. Service availability & support
We endeavour to keep Recron available with high reliability but make no guarantee of uninterrupted service. The service is provided on a commercially reasonable best-effort basis. We may need to suspend access for emergency or scheduled maintenance, security responses, or to comply with legal obligations.
Free plan users receive community support via our contact form. Paid plans receive email support during UK business hours; response targets are not guaranteed and do not constitute a service-level agreement.
9. Third-party services & integrations
Recron relies on third-party providers including Anthropic (model inference), Modal (compute), Vercel (hosting), Neon (database), Resend (email delivery), and Stripe (payments). Disruptions to those services may affect Recron. We are not liable for outages or failures of third-party providers.
When you provide URLs or webhook destinations to your Crons, you authorise Recron to connect to those endpoints to execute the configured task.
10. Intellectual property
We are the owner or licensee of the copyright, trade marks, and all other intellectual property rights in and to the Recron application, the recron.ai website, our designs, source code, branding, and accompanying documentation (“our materials”). Customer Content and Generated outputs are excluded; they are governed by section 7.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use Recron solely for your internal business or personal purposes during a paid or free subscription period and in accordance with these Terms.
Trade marks. Cene® is a registered trade mark of Cene Technologies Ltd in the United Kingdom (UK Trade Mark No. UK00004295979) across Classes 9, 35 and 42. Cene®, Cene Technologies, Recron, the recron logo, and all associated branding are the exclusive property of Cene Technologies Ltd. No person or entity may use, reproduce, or create derivative works from any of our trade marks or branding without our prior written consent.
All other trade marks referenced on the Recron site or in template content are the property of their respective owners and are used for identification purposes only.
11. Privacy
Personal data we collect and process is described in our Privacy & Cookie Policy. By using Recron you consent to our processing of personal data as described there.
12. Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury arising from negligence, fraudulent misrepresentation, or anything else that cannot lawfully be limited or excluded.
To the fullest extent permitted by applicable law:
- Recron, our materials, and Generated outputs are provided without any guarantees, conditions, or warranties as to their accuracy, availability, or fitness for purpose;
- We exclude and disclaim all warranties, terms, conditions and representations that might otherwise be implied by law in relation to the service;
- We shall not be liable for any indirect, special, incidental, or consequential damages — including loss of profits, loss of data, loss of goodwill, or wasted management time — however arising, even if we have been advised of the possibility of such damages;
- Our total aggregate liability arising under or in connection with these Terms (whether in contract, tort, or otherwise) shall not exceed the greater of (a) the fees you paid us for the Recron service in the twelve months preceding the event giving rise to the claim, or (b) £100.
13. Indemnity
You agree to indemnify, defend, and hold harmless Cene Technologies Ltd and its officers, directors, employees, and agents against all losses, damages, liabilities, and reasonable legal fees arising directly or indirectly from: (a) your breach of these Terms; (b) your unlawful or unauthorised use of the service; (c) Customer Content or any material you submit through the service; or (d) your violation of any applicable law, regulation, or third-party right.
14. Termination
You may terminate your account at any time by cancelling your subscription and deleting your account from the application. Cancellation does not entitle you to a refund of fees already paid.
We may suspend or terminate your account immediately if (a) you breach these Terms in a material way; (b) we are required to do so by law or court order; (c) we cease to provide the service. On termination your right to use the service ceases immediately and we may delete Customer Content after a reasonable retention window.
15. Changes to the service
We may add, remove, or modify features at any time. We will give reasonable advance notice of material adverse changes (e.g. removal of a feature you actively use) where practical.
16. International use & dispute resolution
By using Recron from outside the United Kingdom you acknowledge and agree that:
- These Terms are governed by English law regardless of your location;
- You are responsible for compliance with any local laws applicable to your use of the service;
- Prices are quoted in GBP and you are responsible for any currency conversion costs imposed by your card issuer;
- Local taxes, duties, or withholding requirements are your responsibility, except where Stripe Tax computes and remits VAT on our behalf at checkout.
Dispute resolution. Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. Either party may initiate this by sending written notice to the other; the parties shall have 30 days from receipt to resolve the dispute informally.
Class action waiver. To the fullest extent permitted by applicable law, you agree that any dispute resolution will be conducted on an individual basis and not as a class, consolidated, or representative action.
17. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees to submit to the exclusive jurisdiction of the Courts of England and Wales over any claim or matter arising under or in connection with these Terms and the service.
If you are a consumer resident in another jurisdiction, you may benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions.
